Effects of ultimate ownership structure and corporate tax on capital structures: Evidence from Taiwan

Abstract

Our study investigates how ultimate ownership structure and the corporate tax rate affect the equilibrium trade-off relation between manager ownership and debt in reducing agency costs. Considering the presence of the controlling shareholder, we find that higher corporate tax rates strengthen the trade-off relation between manager ownership and debt while higher control rights held by the controlling shareholder weaken it as well as the strengthening effect of corporate tax rate. Our study contributes to the literature by revealing tax and ultimate ownership structure dimensions and their interactions as additional determinants of corporate capital structure.

1 Introduction

Manager ownership and debt both reduce agency costs, and they exist in equilibrium in a firm. This study investigates how ultimate ownership structure and corporate tax status affect this equilibrium. The effect of a firm’s ownership structure on performance has received considerable attention in the literature. However, few studies have examined the effects of ownership structure or corporate tax status on capital structure, and they focus on the interaction between manager ownership and debt financing (e.g., Crutchley & Hansen, 1989; Bathala, Moon, & Rao, 1994) or on the effect on debt financing of the tax subsidy for interest payments (Graham, 1996a, 1996b). The exception is Seetharaman, Swanson, and Srinidhi (2001) which has considered the effects on debt financing from both the perspectives of tax and ownership structure.2

In the United States, there is relatively little concentration in ownership structures. In contrast, in East Asia many firms are controlled by a single shareholder (e.g., La Porta, Lopez-de-Silanes, & Shleifer, 1999). In addition, firms in East Asia exhibit far more divergence between cash-flow rights and control rights than do U.S. firms. Control power is often enhanced beyond ownership stakes through pyramid structures or cross-holdings between firms. Moreover, large shareholders have stronger incentives and abilities to monitor firm managers, and the presence of the controlling shareholder can therefore reduce managerial self-dealing. These ultimate ownership structure characteristics suggest that a study of non-U.S. firms can provide evidence of the effects of ownership structure on a firm’s leverage that would be difficult to detect in U.S. data.

Because of the separation of control rights and ownership, firms face agency conflicts between stockholders and managers. Management stock ownership can reduce agency costs by aligning the interests of a firm’s managers with those of its shareholders. However, because of management entrenchment (e.g., Demsetz, 1983; Fama & Jensen, 1983), an increase in manager ownership can be expected to increase agency costs. The relation between manager ownership and agency cost is therefore non-monotonic.

Both debt and manager ownership are devices to reduce agency costs, and a trade-off relation exists between them in reducing agency costs. Consistent with this argument, numerous studies find that manager ownership negatively impacts firm leverage (e.g., Bathala et al., 1994; Chen & Steiner, 1999; Friend & Lang, 1988; Jensen, Solberg, & Zorn, 1992), supporting the traditional trade-off model where firms determine their optimal leverage by weighting the costs (e.g., financial distress) and benefits (e.g., reducing agency costs) of the marginal dollar of debt. Similarly, firms weight effects of agency and entrenchment costs to determine the optimal manager ownership level (e.g., Rozeff, 1982; Schooley & Barney, 1994).

چکیده

با فرا رسیدن عصر اقتصاد دانش، تحقیق و نوآوری، دارایی‌های ناملموس، اکثراً تبدیل به منبع کلیدی امتیاز رقابتی شرکت‌ها شده‌اند. این موضوع در صنعت ماشین‌آلات که عموماً فاقد قابلیت‌های تحقیق و توسعه است اهمیت ویژه‌ای دارد. دانش و فناوری به تدریج تبدیل به نوعی دارایی راهبردی و منبع اصلی ایجاد امتیاز رقابتی شده‌اند. زیرا شرکت با فناوری نوین خود خدمات و محصولات متفاوتی را توسعه می‌دهد تا از بازارها سود ببرد و ابداع موفق در فناوری باید از پایه دانش مستحکمی برخوردار باشد. هدف این تحقیق بررسی قابلیت یا عدم قابلیت مدیریت دانش برای ارتقای ابداع در فناوری و نحوه اثرگذاری آن بر عملکرد توسعه محصول جدید در صنعت ماشین‌آلات است. ما برای جمع‌آوری اطلاعات شرکت و ایده‌هایی که می‌توانند ساخت‌های روابط علت و معلولی را مشخص کنند، از پرسشنامه استفاده کردیم. برای شناخت عوامل تعیین‌کننده اثرگذار بر عملکرد مدیریت دانش، ابداع در فناوری و عملکرد توسعه محصول جدید، از متغیرهای اجتماعی-اقتصادی نیز استفاده کردیم.

1- مقدمه

صنعت ماشین‌آلات در تایوان یکی از معدود صنایع داخلی است که به فناوری خارجی متکی نیست، ویژگی‌های صنایع تایوان را یک جا جمع می‌کند و در عرصه بین‌الملل رقابت می‌کند. تکمیل بودن شبکه‌های کارگری آن با سایر صنایع قابل مقایسه نیست. در ساختار صنعتی آن کارخانه‌های ماشین‌سازی به عنوان کارخانه‌های مرکزی تلقی می‌شوند که با همکاری سایر فروشنده‌ها، یک ساختار شبکه شعاعی شکل می‌دهند. کارخانه‌های مرکزی روی تحقیق و توسعه، تولید و فروش ماشین متمرکز هستند اما تقریباً تمام اجزای آن توسط فروشندگان همکار به دست آمده‌اند.

این مطالعه رابطه بین متغیرهای KM، TI و عملکرد NPD را در صنعت ماشین‌آلات بررسی کرد. بر اسا تایج تحلیل تجربی، این بخش یافته‌های اصلی و مفاهیم مهم را بحث می‌کند. به لحاظ KM و TI، جنیه‌های KMC و KMI در ساختار KM تأثیر چشمگیری روی TI دارند و می‌توان فهمید که در فرآیند KM، خلق، کسب، انتشار و ادغام دانش با TI مرتبط هستند. نتایج تجربی تحقیق تحلیل رگرسیون نشان می‌دهند که در میان متغیرهای KM، دو عنصر مهم شامل KMC و KMI می‌توانند بر عملکرد TI اثرگذار باشند که با دیدگاه اندرسون (2003) مبنی بر اینکه انتشار و انتقال دانش در داخل شرکت‌ها می‌تواند سرعت و کیفیت سازمانی TI را افزایش دهد سازگار است. همچنین دیدگاه‌های نوناکا و تاکوچی (1995) را که نوآوری عملیات اشاعه دانش است و از تعامل بین دانش نهان سازمانی و دانش آشکار حاصل می‌شود تأیید می‌کند. در اینجا، شناخت در صنعت ماشین‌آلات ارائه می‌شود. برای داشتن TI، فرآیند خلق و کسب دانش و انتشار و ادغام دانش را نمی‌توان استثنا کرد.

Abstract

With the coming of the era of knowledge economy, research and innovation, the intangible assets, have mostly become the key source of enterprise’s competitive advantage; this is especially important to the machine tool industry which generally lacks for research and development capabilities. Knowledge and technology have been gradually considered as a kind of strategic asset and the main source of creating competitive advantages. The reason is that enterprise develops distinct products and service with its innovative technology to create profits from markets, and successful technology innovation has to rely on the solid knowledge foundation. This research intends to investigate whether knowledge management could enhance technology innovation and how it affects the performance of new product development in machine tools industry. We use the questionnaire survey to collect firm’s information and opinions that can verify the constructs of cause effect relations. The Socioeconomic variables are also used to find out the determinants that will affect the performance of knowledge management, technology innovation and new product development performance.

1- Introduction

The machine tools industry in Taiwan is one of the few domestic industries that does not rely on foreign technology, incorporates the features of Taiwanese industries, and has developed international competitiveness. Its completeness in labor division networks is rarely compared to other industries. Its industrial structure has the machine tools manufacturing factories as central factories, forming a radial network structure in cooperation with other vendors. Central factories focus on research and development, manufacturing, and sales of machines, but its components are generally all obtained by cooperating vendors.

5- Conclusions

This study explored the correlation of variables KM, TI and NPD performance in the machine tools industry. Based on the results of empirical analysis, this section discusses the main findings and important implications. In terms of KM and TI, aspects of KMC and KMI in the construct of KM have a significant effect on TI, and it can be known that in the process of KM, the creation, acquisition, diffusion, and integration of knowledge is correlated to TI; the empirical research results of regression analysis show that among variables of KM, the two important elements including KMC and KMI can affect the performance of TI, which is consistent with the views of Anderson (2003), that managing the diffusion and transmission of knowledge within corporations can promote organizational speed and quality of TI. It also proves the views of Nonaka & Takeuchi (1995) that innovation is the operation of the knowledge spiral, and results from the interaction between organizational latent knowledge and exhibited knowledge. It represents the cognition in the machine tools industry; in order to have TI, the process of knowledge creation and acquisition and knowledge diffusion and integration is indispensable.

Making a Technological Catch-up: Barriers and Opportunities

Abstract

This paper has discussed several issues regarding the barriers and opportunities for technological catch‐up by the late‐comer countries and firms. As one of the barriers to technological catch‐up, the paper emphasizes the uncertainty involved with the third stage of learning how to design. The barriers arise because as the forerunner firms refuse to sell or give license to successful catching‐up firms who thus have to design the product by themselves. The paper discusses how to overcome this barrier. It also notes that if the crisis of design technology is a push factor for leapfrogging, arrival of new techno‐economic paradigm can serve as a pull factor for leapfrogging, serving as a winder of opportunity. The, it emphasized the two risks with leapfrogging, namely the risk of choosing right technology or standards and the risk of creating initial markets, and how to overcome these risks. It discusses how to overcome these risks in leapfrogging, and differentiates diverse forms of knowledge accesses.

Then, the paper takes up the issue of whether there can be a single common or several models for catch‐up. A common element of catching‐up is to enter new markets segments quickly, to manufacture with high levels of engineering excellence, and to be first‐to‐market by means of the best integrative designs. This observation is supported by the fact that Korea and Taiwan has achieved higher levels of technological capabilities in such sectors as featured by short cycle time of technology. The possibility of two alternative models for catch‐up is also discussed in terms of the key difference between Korean and Taiwan, especially in the position toward the source of foreign knowledge and the paths taken toward the final goal of OBM. Taiwan followed the sequential steps of OEM, ODM and OBN, in collaboration or integration with the MNCs. Korean chaebols jumped from OEM directly to OBM even without consolidating design technology.

1 Introduction

While many appreciated the rapid economic growth achieved by the newly industrialized economies (NIEs) (Amsden, 1989; Chang, 1994; World Bank, 1993), more recent concern has been why such catch-up is not happening in other parts of the world. Despite huge amount of development aid and the accompanied policy changes, poverty and the gap between the rich and poor countries still prevails.

Argument has been made that even good policy prescriptions fail because of poor institutional conditions, such as insecure property right and rule of law and so on. Thus, the recent literature in economic development has debated on the relative importance among institutions, policy and geography as competing determinants of economic growth, with more research appearing in favor of the first factor, institution (Acemoglu, Johnson and Robinson, 2001; Rodrik, et al., 2004). Much missing in the debate on the determinant of economic development is the role of technology. Technological innovation is recognized as one of the most serious bottleneck in many countries, especially in middle income countries in Latin America. Furthermore, it is apparent that a stable macro-environment, secure property rights, adequate infrastructure, or liberal trade policy is not sufficient to trigger sustained growth.2) While it still remains to be seen whether we should treat technology as a part of institutions or policy, there is also some shift in the technology-oriented views on economic growth.

The attention to the latecomers in economic development goes back to Gerschenkron (1962, 1963) that emphasized the advantages of the late comers, such as economy of scale in plant sizes in steel, owing to the fact that these countries started to use the technology only after it become matured enough to have the capital goods suitable for efficient production. However, the majority of the early literature have focused on explaining how developing countries including the NIEs have tried to catch up with advanced countries by assimilating and adapting the more or less obsolete technology of the advanced countries, which is consistent with the so-called product life cycle theory (Vernon, 1966; Utterback and Abernathy, 1975; L. Kim, 1980, 1997; OECD 1992; Dahlman Westphal, and Kim, 1985). In this view, catching-up is considered as a question of relative speed in a race along a fixed track, and technology is understood as a cumulative unidirectional process (Perez, 1988). However, the speed of progress on the track has been uneven, with some catching-up rapidly and others lagging behind.

Regarding the sources of the uneven progress, one stream of research focuses on knowledge gap between the rich and the poor or the catcher and the laggard, and the issue of how to imitate, learn and create new knowledge in the latecomer country (Amsden, 1989, Amsden and Chu, 2003; Ernst and, Kim 2002; Ernst, 2002; Mathews, 2001; Yusuf, 2003). Applying the idea of knowledge creation and the concept of GPN (global production network) Ernst and Kim (2002) discusses how the late-comer firms learn the existing knowledge and create new knowledge. Mathews (2002; 2003) takes the resource-based view of the firm (Penrose, 1959) to analyze learning and competitive advantages of the late-comer firms.

چکیده

هدف سقط های مکرر (RPL) می تواند به علت کافی نبودن پروژسترون در مرحله لوتئال قاعدگی و اوایل حاملگی رخ دهد. پروژسترون نقش حیاتی در بلوغ تخمک، لانه گزینی جنین و جایگیری جفت در اوایل بارداری دارد. در این مطالعه به بررسی ارتباط بین پلی مورفیسم ژن گیرنده های پروژسترون (PGR) و RPL ناشناخته می پردازد.
روش 121 زن با سابقه سقط های مکرر و ناشناخته (PRL) و 179 مورد شاهد در این مطالعه مورد بررسی قرار گرفتند. 6 برچسب SNP و دو SNP عملکردی [PROGINS (rs1042838), +331 C/T (rs10895068)] ، ژنوتیپ ژن های گیرنده پروژسترونی شناسایی شدند.
نتایج نتایج نشان داده که فراوانی آلل ها و ژنوتیپ های SNP عملکردی [PROGINS (rs1042838)] در بیماران مبتلا به RPL ناشناخته بسیار بالاتر از افراد شاهد بود (مقادیر p=0.006). علاوه براین، هاپلوتایپ های C-C که دارای rs590688C>G و rs11224592T>C هستند؛ با کاهش ریسک RPL (p=0.004) مرتبط می باشند.
بحث پلی مورفیسم PROGINS موجب حساسیت به سقط های مکرر در زنان هان تایوان می شود.

نتیجه گیری

در این گزارش ما با استفاده از برچسب زنی SNPها برای بدست آوردن اطلاعات ژنتیکی در بلوک شدن ژن های PGR نشان دادیم که ارتباط معنی داری بین PROGINS با RPL در زنان هان تایوانی هان وجود دارد. حقیقت این است که آلل های PROGINS فراوانی بیشتری در بیماران RPL دارند که نشان می دهد PROGINS می تواند تعیین کننده میزان خطر برای سقط جنین باشد. برای مشخص نمودن اثر پلی مورفیسم PGR بر خطر RPL، مطالعات بیشتر باید بروی حجم بزرگتری از نمونه ها انجام بگیرد. به نظر می رسد که PROGINS تنها در 4.1٪ بیماران زن از قوم هان در تایوان وجود دارد و علل ناشناخته در RPL بسیار ناهمگون هستند و عوامل متعددی در وقوع سقط های مکرر نقش دارند.

Abstract

Purpose Recurrent pregnancy loss (RPL) could be caused by insufficient progesterone in the luteal phase of menstruation and early pregnancy. Progesterone plays a critical role in oocyte maturation, embryo implantation and placenta maintenance in early gestation. This study was set out to investigate the association between polymorphisms of the progesterone receptor (PGR) gene and idiopathic RPL.
Methods One hundred twenty-one women with a history of idiopathic recurrent pregnancy loss (RPL) and 179 control subjects were enrolled into the study. Six tag SNPs and two functional SNPs [PROGINS (rs1042838), +331 C/T (rs10895068)] of the progesterone receptor gene were genotyped.
Results We found that the allele and genotype frequencies of the functional SNP [PROGINS (rs1042838)] were both significantly higher in patients with idiopathic RPL than in the control subjects (both P values=0.006). In addition, the C-C haplotype, which consists of rs590688C>G and rs11224592T>C, is associated with a decreased risk of RPL (p=0.004).
Conclusion PROGINS polymorphism confers susceptibility to idiopathic recurrent pregnancy loss in Taiwanese Han women.

Conclusions

In this report, we showed a significant association of PROGINS with RPL in Taiwanese Han women by using tagging SNPs to capture the genetic information within the PGR gene block. The fact that the PROGINS allele occurs more frequently in RPL patients indicates that PROGINS may be a risk modifier for miscarriage. Further studies should use a larger sample size and establish the contribution of the PGR polymorphism to the risk for RPL. Considering that PROGINS occurs in only 4.1% of Taiwanese Han female patients, the etiology of idiopathic RPL is extremely heterogeneous and multiple factors are implicated in the pathogenesis of recurrent miscarriage.

طرح / روش شناسی / رویکرد – این مقاله در درجه اول یک مطالعه کمی با هدف توسعه ترکیب بازاریابی برای یک موسسه تحصیلات تکمیلی در NCYU در تایوان است. یک بررسی با استفاده از روش نمونه گیری تصادفی طبقه بندی شده، با 14 دانشگاه از چهار منطقه مختلف در تایوان به صورت تصادفی ساده انتخاب شده انجام شد. دو پرسشنامه انجام شد: پرسشنامه لیکرت با مقیاس پنج در مورد تصاویر مدرسه و یک پرسشنامه فرایند سلسله مراتبی تحلیلی (AHP) در مورد عوامل انتخاب مدرسه با توجه به 640 دانشجو در مقطع کارشناسی اجرا شدند. از تعداد کل پرسشنامه ها، 602 (94 درصد), پرسشنامه های معتبر تصویر مدرسه و 570 (89 درصد) پرسشنامه های عوامل انتخاب مدرسه معتبر استفاده شدند.
یافته ها – نتایج AHP نشان داد که پنج عامل مهم برای انتخاب دانش آموزان در مدارس عبارت بودند از: استخدام، برنامه درسی، شهرت آکادمیک، دانشکده، محیط زیست و پژوهش. نتایج تجزیه و تحلیل خوشه ای, پنج گروه دانشجویی را برای تقسیم بندی بازار مشخص نمودند و آنها گروه برجسته، گروه کمتر آگاه، گروه عملگرا، گروه ریاضت، و گروه سخت گیر می باشند. در نهایت، نتایج حاصل از تجزیه و تحلیل تناظر پیشنهاد نمود که دانش آموزان گروه عملگرا به احتمال بیشتر توسط NCYU جذب می شوند، و همچنین، دانش آموزان, NCYU را به شدت مرتبط با شهریه پایین تر، افراد آزمون-ورودیکمتر ، نرخ پاس آزمون-ورودی کمتر ، و الزامات فارغ التحصیلی آسان تر تصور نمودند.

1- مقدمه

Abstract

Purpose – The purpose of this paper is to examine how a graduate institute at National Chiayi University (NCYU), by using a model that integrates analytic hierarchy process, cluster analysis and correspondence analysis, can develop effective marketing strategies.

Design/methodology/approach – This is primarily a quantitative study aimed at developing a marketing mix for a graduate institute at NCYU in Taiwan. A survey using stratified random sampling was conducted, with 14 universities from four different areas in Taiwan randomly selected for the study. Two questionnaires were conducted: a Likert’s five-scale questionnaire regarding school images and an analytic hierarchy process (AHP) questionnaire regarding school selection factors were administered to 640 undergraduate students. Of the total number of questionnaires, 602 (94 percent) valid school image questionnaires and 570 (89 percent) valid school selection factors questionnaires were used.

Findings – The results of AHP revealed that the five most important factors for students’ school selection were: employability, curriculum, academic reputation, faculty, and research environment. The results of clustering analysis identified five student groups for market segmentation, and they are the Prominence group, the Less aware group, the Pragmatic group, the Austerity group, and the Fastidious group. Finally, the results of correspondence analysis suggested that students of the Pragmatic Group are more likely to be attracted by NCYU, and also, students perceived NCYU to be strongly associated with lower tuition, fewer entrance-exam subjects, lower entrance-exam pass rates, and easier graduation requirements.

Research limitations/implications – It would be better to conduct a factor analysis before using AHP.

Practical implications – Particularly, NCYU should establish new curricula relevant to internationalization, develop curricula in school finance and educational economics, and form study groups to enhance graduating student employment opportunities. Generally, higher educational institutions may adopt the research model developed in this study to develop their marketing mix for better results.

Originality/value – This paper documents research that was the first to integrate AHP, cluster analysis, and correspondence analysis in developing a marketing mix for higher educational institutions.

1- Introduction

Higher education in Taiwan has expanded dramatically in recent years. The number of institutions of higher education in Taiwan grew from 22 in 1984 to 163 by 2006. In accord with this trend, institutions of higher education specializing in teacher training increased from 12 in 1995, to nearly 70 by 2006. This growth has created fierce competition, necessitating the development of effective marketing strategies in graduate teacher training institutions.

The Graduate Institute of Educational Administration and Policy Development of National Chiayi University (NCYU – the university’s abbreviation, through this article), a graduate level teacher training institution, aims to prepare educational organization leaders conducting advanced research in relevant fields. When this institution was established in 2001, the market was not particularly competitive, while the pool of students seeking admission was abundant. This pool has shrunk because of the rapid increase in the number of institutions of higher education, as well as sharply reduced birth rates in Taiwan. As a result, NCYU experienced a dramatic shrinkage of applications, from 249 applicants in 2004 to 133 applicants in 2005. During this time, NCYU realized that marketing was important, but it did not have sufficient funds to create sophisticated marketing approaches, which are expensive. While NCYU developed advertising and scholarship campaigns to attract students, the work was fragmentary, and the number of applicants decreased yet further, to 131 in 2007. Learning from these failures, NCYU has realized that it has to establish marketing policies based not only on advertising its specialties or offering scholarships, but which also better take into consideration the real requirements of prospective students. Additionally, because of the lack of funds, the school desires to incorporate market segmentation and market positioning techniques, in order to make its marketing strategies more cost-effective. Our research examines how NCYU can develop sound marketing strategies by using a new market model that integrates analytic hierarchy process (AHP), cluster analysis and correspondence analysis, so that the school will be able to excel in an increasingly competitive marketplace..
