مقدمه

کارآفرینی شرکتی در صورت استفاده بر علیه تعریف کلاسیک کارآفرینی، شناسایی و بهره برداری از فرصت های بدست آمده در مواجه با محدودیت های منابع ، معنای متناقضی حاصل می کند. نسبت به شرکت های توسعه یافته، شرکت ها و موسسات اقتصادی با سرمایه انسانی و مالی تکمیل می شوند. آنها به شبکه های بزرگی مجهز   می باشند که مدیران پروژه می توانند ایده ها، فناوری و مواد خام لازم برای نیل به موفقیت موسسات را ارائه دهند. قابلیت های اسکن محیطی نسبتاً جامع شرکت ها امکان کاهش ریسک عدم شناسایی فرصتها را فراهم می آورد. در مجموع، می توان راجع به مفهوم کارآفرینی شرکتی بحث نمود. با این حال، فرایند بهره برداری از فرصت های جدید در شرکت ها مملو از ریسک هایی است که نهادهای اقتصادی باآن مواجه هستند. علت این امر آن است که پیش بینی بازده های ابتکار که فعالیت اصلی و کلیدی کارآفرینی محسوب می گردد، کار سخت و دشواری می باشد. در واقع، در متون زیادی ، چالش ها و موانع اصلی امور کارفرمایی شرکتی (CE) روشن شده است.

دانش فکری فرایندهای مدیریتی یکی از منابع کلیدی شرکت ها به ویژه در زمینه تشخیص فرصت محسوب می گردد. در چارچوب نمایندگی سنتی، عدم تقارن اطلاعات منجر به تقسیم نامناسب کرایه های سهامداران از سوی مدیران می شود. با این حال، می توان این گونه تصور نمود که این قبیل کرایه ها بازتابی از سرمایه گذاری مدیران در شرکت می باشند. به همین خاطر نوع روند جبران خسارت مدیریت ، مسائل مهمی برای CE به همراه دارد، زیرا بر افق زمانی و رفتارهای استراتژیکی تاثیر می گذارد. طرح های جبران خسارت مدیران اجرایی ، تعارضات نمایندگی بین مدیران و مالکین را کاهش می دهد. به همین خاطر یکی از عناصر کلیدی سیستم نظارت شرکتی به شمار می رود.

Executive summaryA longstanding literature has highlighted significant challenges and shortcomings in the corporate entrepreneurship (CE)activities of firms. Previous reviews have emphasized the need for further research on the processes and knowledge-basedresources involved in CE, as well as the heterogeneous nature of CE. The scope of CE is also becoming wider as organizations, notpreviously recognized as entrepreneurial, need to become so in order to survive and succeed in increasingly competitive andfinancially constrained environments. This raises important questions concerning the applicability of the structures and processesdeveloped in traditional corporations to these newcontexts and howthe appropriate strategies and mechanisms can be developed.A third motivation concerns the need for understanding the link between CE and corporate governance, in part because CE activitiescan be costly and have significant impact on the future value of the enterprise.In this paper, we first outline the dimensions of CE in terms of corporate venturing (CV) and strategic entrepreneurship. Thesetwo dimensions incorporate new business development and various dimensions of organizational renewal in establishedcorporations.We elaborate on the heterogeneity of CE forms to include newinternal businesses, corporate joint ventures, corporateand university spin-offs and start-ups by former employees. We also elaborate the heterogeneity of CE forms in establishedcorporations to include ambidextrous organizational structures, autonomous divisions mandated to undertake CE, and theleveraged buyout (LBO) divisions of corporations.This is followed by a short review of the papers contained in the special issue, with a particular focus on how they provideinsights into neglected dimensions of the CE literature. We particularly focus on how they provide insights into structural and process contingencies, the role of management at multiple levels, and organizational and managerial capabilities. The papers in thisvolume suggest that both bottom up and top down processes are important. The studies also indicate that not only do actors atdifferent levels of the organization have CE roles but that they are not independent of each other.In the final section, we suggest an agenda for future research. With respect to structures and processes, we identify a need forresearch on the role of corporate governance mechanisms.We also need to consider such issues at different stages of the corporatelife cycle. While the papers presented here discuss the influence of different contexts on the nature of CE, there is a need for furthertheorizing and empirical analysis of these different contexts including service sectors and areas that have traditionally been noncommercial.With respect to the roles of managers at different levels of the organization, researchers need to ask questions related to theirroles in instigating and supporting entrepreneurial activities. This research could usefully consider whether individual managersneed to be specialists in CE or whether they should be ambidextrous, and whether this varies according to the level in theorganization occupied by a particular manager.Finally, future research needs to consider the limits to the applicability of theories developed in other contexts to CE. Forexample, there may be limits to how far theories of radical innovation and venture capital can be applied to CE and corporateventure capital (CVC), respectively. IntroductionWhen applied against the classic definition of entrepreneurship, the identification and exploitation of opportunity in the face ofresource constraints, corporate entrepreneurship is a contradiction in terms. Relative to emergent firms, corporations are repletewith human and financial capital. They possess large networks from which project managers can draw ideas, technology, and rawmaterials to bring their businesses to fruition. The relatively comprehensive environmental scanning capabilities of corporationsfunction to mitigate the risks of mis-identifying opportunities. In sum, one could question the entire premise of the concept of‘corporate entrepreneurship’. Yet, the process of exploiting new opportunities in corporations is fraught with the same risks asthose facing start ups and smaller enterprises. This is partly because the outcomes of innovation, which is a core entrepreneurialactivity, are difficult to predict. Indeed, a longstanding literature has highlighted significant challenges and shortcomings in thecorporate entrepreneurship (CE) activities of firms.Recent reviews have highlighted the need for further research on the processes and knowledge-based resources andcapabilities involved in CE (Dess et al., 2003). A first motivation for this special issue, therefore, is to provide newinsights into theseaspects. More recently, it has become clear that CE activities within corporations are heterogeneous and we need to know moreabout this variety (Narayanan et al., 2009). The scope of CE is also widening as organizations that have not previously beenrecognized as entrepreneurial begin to do so in order to survive and succeed in increasingly competitive and financiallyconstrained environments. The role of private and public universities has also become more important, as a result of governmentencouragement and the need to diversify sources of revenue. As they seek to commercialize research through licensing and thecreation of spin-off companies, they have tightened their relationships to companies (Wright et al., 2008).An important aspect of the extensive restructuring activities undertaken by corporations over the past two decades has beenthe divestment of divisions to create new independent or quasi-independent firms, many of which are backed by private equitypartnerships. These leveraged buyouts (LBOs) are usually regarded seen as devices to engender efficiency gains, but areincreasingly seen as platforms for entrepreneurial activity by large corporations (Zahra, 1995;Wright et al., 1992, 2000). The needto understand the structures, processes and capabilities of CE in these newer organizational contexts and forms presents a secondmotivation for this special issue. For example, corporate entrepreneurship is usually modelled as a learning process, in which firmsalternately engage in exploration followed by the exploitation of resulting discoveries. The Burgers et al. paper reflects thisperspective but takes it further by framing it in a contingency framework that offers greater explanatory power. Similar approachesare evident in all the papers, so that familiar theoretical frameworks are combined by newer approaches to hypotheses testing andtheorizing.
